Welcome to Sirixm LLC ("Agency," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of sirixm.online and the professional performance digital marketing, advertising management, search engine optimization, and web architecture services we deliver. By accessing our portal or retaining our agency, you agree to be bound by these Terms.

1. Scope of Digital Marketing Services

Sirixm LLC provides performance-oriented growth and media buying services, including:

• Google Ads (Search, Performance Max, Display, Shopping, YouTube Ads)
• Paid Social Advertising (Meta / Facebook & Instagram Ads, TikTok Ads)
• Search Engine Optimization (Technical Audits, Link Outreach, On-Page & Local SEO)
• Conversion Rate Optimization (CRO) & Funnel Landing Page Design
• Direct-Response Content Marketing & Ad Copywriting
• Email & SMS Lifecycle Marketing Automation

All specific deliverables, monthly retainer fees, and service schedules will be documented in a written Statement of Work (SOW) or digital proposal.

2. Client Responsibilities & Ad Spend

In engaging our advertising services, the Client acknowledges and agrees:

• Direct Media Spend: Client is directly responsible for all third-party advertising charges billed by advertising networks (such as Google LLC or Meta Platforms, Inc.). Agency management fees are separate from media spend.
• Asset Provision: Client agrees to supply necessary logos, brand assets, product data feeds, and timely approvals necessary to launch campaigns.
• Ad Compliance: Client certifies that their products, services, claims, and landing pages comply with third-party ad policies and federal consumer protection statutes.

3. Intellectual Property & Account Ownership

Client Data & Account Ownership: The Client maintains 100% ownership of their advertising accounts, domain names, customer data lists, and analytics records. Sirixm LLC claims no proprietary ownership over Client data. Custom creative collateral and landing pages developed during active engagements become Client property upon full settlement of invoices.

4. Retainer Invoicing & Payment Terms

• Agency management retainers are invoiced monthly in advance unless specified otherwise in the SOW.
• Invoices are due upon receipt or within the stipulated net payment window.
• Failure to process retainer payments may result in immediate suspension of active campaign management and optimizations.

5. Disclaimers of Result Guarantees

While Sirixm LLC employs industry-leading methodologies, certified specialists, and advanced analytics, digital marketing results are inherently subject to dynamic variables, including market competitors, seasonal demand, consumer sentiment, auction bid fluctuations, and algorithmic changes by third-party search engines and platforms. We do not guarantee specific monetary earnings or fixed ranking positions.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Sirixm LLC and its directors, employees, and agents shall not be liable for any indirect, consequential, incidental, or exemplary damages, including lost profits, loss of goodwill, or business interruption arising from our services or third-party platform downtime.

7. Indemnification

The Client agrees to defend, indemnify, and hold harmless Sirixm LLC against any claims, losses, or legal liabilities arising from Client-supplied materials, trademark violations, or regulatory non-compliance of the Client's business offerings.

8. Governing Law & Jurisdiction

These Terms shall be construed and governed in accordance with the substantive laws of the State of Georgia, United States, without regard to conflicts of law principles. Any dispute arising under these Terms shall be resolved exclusively in state or federal courts located in Dodge County, Georgia.
